Terms of Use

Effective Date: September 23, 2026

By engaging Codentix Tech LLP for website development, software development, mobile application development, digital marketing, consulting, maintenance, hosting, or any related services, you agree to the following Terms of Use.

1. Project Commencement

A project shall be deemed to have commenced once the client approves a quotation, proposal, agreement, purchase order, work order, email confirmation, or makes any advance payment.

2. Client Responsibilities

The client shall provide all necessary information, content, approvals, credentials, feedback, and materials required for project execution. Any delay in providing required information may result in a corresponding delay in project delivery.

3. Payment Terms

Payments shall be made as per the approved quotation, proposal, agreement, invoice, or milestone schedule. Failure to make payments on time may result in suspension of work and withholding of deliverables.

4. Ownership of Source Code and Deliverables

All source code, software applications, websites, mobile applications, designs, databases, APIs, documentation, graphics, and project-related materials developed by Codentix Tech LLP shall remain the sole property of Codentix Tech LLP until full payment is received. Ownership rights shall transfer to the client only after complete payment of all outstanding dues.

5. Project Cancellation by Client

If the client chooses to stop, cancel, suspend, or terminate a project after work has commenced:

  • No refund shall be issued.
  • The client shall remain liable for all completed work and committed project resources.
  • Any pending milestone payments or outstanding balances shall become immediately payable.
  • If the client requests the partially completed work, source code, project files, databases, designs, documentation, or any other deliverables, all pending payments must be cleared in full before such materials are shared.

6. No Source Code Delivery Without Full Payment

Under no circumstances shall Codentix Tech LLP provide source code, application code, website files, design files, databases, APIs, credentials, documentation, or any project assets until all outstanding payments have been received in full. Non-payment shall result in withholding of all deliverables.

7. Project Delays

While Codentix Tech LLP endeavors to complete projects within estimated timelines, delays may occur due to unforeseen circumstances including but not limited to:

  • Technical issues
  • Third-party service interruptions
  • Delays in client approvals or content submission
  • Changes in project scope
  • Government regulations, Natural disasters, Network outages, Force majeure events
  • Other circumstances beyond reasonable control

Such delays shall not constitute a breach of contract and shall not entitle the client to any refund, compensation, penalty, or cancellation of payment obligations.

8. Limitation of Liability

Codentix Tech LLP shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of its services.

9. Governing Law

These Terms shall be governed by the laws of India. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts located in Bengaluru, Karnataka.
